Atos receives EUR410m offer from French State for Advanced Computing unit

Digital transformation specialist Atos SE (Euronext Paris:ATO) announced on Monday that it has received a confirmatory offer from the French State to acquire its Advanced Computing business, excluding the Vision AI activities repositioned within Eviden.

This offer values the transaction at an enterprise value of EUR410m, including EUR110m in contingent earn-outs based on profitability targets for fiscal years 2025 and 2026.

The excluded Vision AI business, comprising mainly the Ipsotek subsidiary acquired in 2021, will form a standalone unit within Eviden.

Atos Group's Advanced Computing business includes High-Performance Computing and Quantum, as well as Business Computing and Artificial Intelligence operations, with projected 2025 revenue of approximately EUR0.8bn.

Atos expects to sign a binding agreement in the coming weeks, with closing of the transaction anticipated in 2026.

The company's board of directors supports the offer, following an independent expert's confirmation that the terms reflect fair market value.

Atos's 2028 financial targets, outlined at its Capital Markets Day in May, remain unchanged assuming the sale proceeds as planned.
