Fasadgruppen Group AB (STO:FG), a provider of building exterior construction, renovation, and upgrading services in the Nordic region, announced on Thursday that it has agreed to acquire roofing contractor ProRakenne Oy through its Finnish subsidiary RKC Construction Oy (Rovakate), broadening its roofing offering in Finland.

Founded in 2014, ProRakenne employs around 30 people and generated approximately EUR5.2m in revenue in 2025, with operations spanning new-build and renovation roofing, including waterproofing, bitumen roofing and data centre projects.

This acquisition will enable the combined business to provide a broader building envelope offering while bringing roofing work previously outsourced to subcontractors in-house.

Tuomo Jurmu will remain CEO of ProRakenne and become a co-owner in Fasadgruppen's Finnish operations.

Fasadgruppen is acquiring 100% of ProRakenne's shares, with the transaction financed through existing cash and available credit facilities. The company said the impact on liquidity is expected to be limited because the cash consideration is substantially offset by acquired net cash.

Closing is expected in the third quarter of 2026, subject to customary conditions.
