Auddia files S-4 for merger with Thramann Holdings to form McCarthy Finney
US audio-technology company Auddia Inc. (NASDAQ: AUUD) said on Friday it has filed a Form S-4 with the US Securities and Exchange Commission for its planned merger with Thramann Holdings, LLC, after which the combined business will be renamed McCarthy Finney and trade on Nasdaq as MCFN.
The filing includes a third-party fairness opinion and financial projections for McCarthy Finney.
Auddia said the submission marks a key step in its shift to an AI-native platform designed to build and scale multiple AI-enabled businesses on shared infrastructure.
McCarthy Finney will comprise four AI-driven businesses: LT350, a distributed AI infrastructure developer; Influence Healthcare, an AI-enabled value-based care platform; Voyex, an agentic AI travel service; and Auddia, an AI-based audio platform. All subsidiaries will run on MF-OS, a shared operating system providing centralised engineering, workflow automation, cross-vertical data infrastructure, and governance tools.
The company positions the structure as a clean-slate alternative to legacy enterprises facing barriers to AI adoption.
The S-4 will undergo SEC review before Auddia schedules a shareholder vote, with closing expected following regulatory clearance and customary conditions. Auddia has previously completed USD12m in financing, which is expected to satisfy the cash requirement at closing.
